By accessing or using AgoraBoard ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

AgoraBoard provides an all-in-one business management platform that includes ticketing systems, CRM, HRIS, project management, and inventory tracking capabilities. The Service is accessible via web browser and supports both online and offline operations.

Account Registration

Account Creation

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By creating an account, you represent and warrant that you meet these requirements.

Subscription and Payment

Subscription Plans

We offer various subscription plans as detailed on our pricing page. By subscribing, you agree to:

• Pay all fees associated with your chosen plan
• Automatic renewal unless you cancel before the renewal date
• Price changes with 30 days advance notice
• Our refund policy as stated in the payment terms

Free Trial

We offer a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must choose a paid plan to continue using the Service, or your account will be paused.

Refunds

We offer a 30-day money-back guarantee on all paid plans. Refund requests must be submitted within 30 days of purchase. Annual subscriptions are refunded on a pro-rata basis after the first 30 days.

Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe upon the rights of others
• Transmit any malicious code, viruses, or harmful components
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization

Intellectual Property

Our IP

The Service and its original content, features, and functionality are owned by AgoraBoard and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain all rights to the data and content you upload to the Service. By using the Service, you grant us a license to host, store, and process your content solely for the purpose of providing the Service to you.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We take data protection seriously and comply with GDPR, SOC 2, and ISO 27001 standards.

Service Availability

We strive to provide 99.9% uptime but cannot guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice. The offline mode feature allows continued work for up to 3 days without internet connection.

Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, you will have 30 days to export your data.

Termination by Us

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

Limitation of Liability

To the maximum extent permitted by law, AgoraBoard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or personal information
• Any interruption or cessation of the Service
• Any bugs, viruses, trojan horses, or the like transmitted through the Service

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

Indemnification

You agree to defend, indemnify, and hold harmless AgoraBoard and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.
